Terms of Use

These terms cover the website only. Your use of emtavhealth.com (the "Site") is governed by these terms. Consulting engagements are governed exclusively by a separate written EmTav Proposal and Engagement Agreement. Where these terms and an executed engagement agreement differ, the engagement agreement controls.
No advisory relationship is created by this Site. Nothing on the Site constitutes procurement, clinical, engineering, regulatory, legal, tax, or financial advice. No consultant-client relationship is formed by visiting the Site, submitting a form, or corresponding with us. An engagement begins only when both parties execute a written agreement.
Informational content. Descriptions of methodology, deliverables, benchmarks, scope, and process are provided for general information. Every healthcare facility differs. Nothing on the Site should be relied upon as a recommendation for your specific circumstances, and no outcome described here is promised in any particular engagement.
Cost figures are planning-level estimates. Any cost, replacement value, deferral, exposure, or savings figure shown on the Site or produced in any EmTav deliverable is a planning-level estimate developed for budgeting and prioritization. Such figures are not quotations, not procurement pricing, and not offers, and they do not bind either party. Actual costs vary with market conditions, configuration, negotiation, and timing.
No guarantee of results. EmTav does not represent or guarantee any budgetary, operational, procurement, accreditation, survey, or regulatory outcome. Decisions taken on the basis of an EmTav deliverable remain the client's decisions.
Intellectual property. The EmTav name and wordmark, the T-Square Seal, the EmTav Replacement Readiness Score and its underlying methodology, benchmark libraries, templates, workbooks, dashboards, diagrams, and all Site content are the property of EmTav LLC and are protected by applicable intellectual property law. Clients receive ownership of the populated deliverables produced in their engagement. EmTav retains its methodology, templates, benchmarks, and any improvements to them, and remains free to serve other clients, as set out in the engagement agreement. Nothing on the Site grants any license to EmTav's marks or methodology.
Acceptable use. You may not use the Site to transmit unlawful, infringing, or harmful material; attempt to gain unauthorized access to any system; interfere with the operation of the Site; scrape, harvest, or systematically extract content; or reproduce, republish, or exploit Site content for commercial purposes without our written permission.
No protected health information. You must not transmit protected health information to EmTav through the Site or any other channel. See the Privacy Policy.
Third-party names and links. Manufacturer, platform, standards-body, and accrediting-body names appearing on the Site are the marks of their respective owners and are used descriptively. Their use does not imply endorsement, affiliation, sponsorship, or partnership in either direction. Any third-party link is provided for convenience; we do not control and are not responsible for third-party content.
Disclaimer of warranties. The Site and its content are provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement, to the fullest extent permitted by law. We do not warrant that the Site will be uninterrupted, error-free, or free of harmful components.
Limitation of liability. To the fullest extent permitted by law, EmTav LLC and its members, officers, and agents will not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for lost profits, lost data, or business interruption, arising out of or relating to your use of the Site, whether based in contract, tort, warranty, statute, or otherwise, even if advised of the possibility of such damages. Our total aggregate liability arising from your use of the Site will not exceed the amount you paid, if any, to access the Site. Liability arising from a consulting engagement is governed exclusively by the engagement agreement, which caps liability at the fees paid for that engagement and excludes consequential damages.
Indemnification. You agree to indemnify and hold harmless EmTav LLC and its members, officers, and agents from any claim, loss, liability, or expense, including reasonable legal fees, arising from your use of the Site, your violation of these terms, or your violation of the rights of any third party.
Changes to the Site and these terms. We may modify or discontinue the Site, and may revise these terms, at any time. Revisions take effect when posted with an updated effective date. Continued use of the Site after a revision constitutes acceptance of it.
Governing law and venue. These terms are governed by the laws of the State of New York, without regard to its conflict-of-laws principles. The state and federal courts located in the State of New York will have exclusive jurisdiction over any dispute arising from these terms or your use of the Site, and you consent to that jurisdiction and venue.
Severability and waiver. If any provision of these terms is held unenforceable, that provision will be limited or severed to the minimum extent necessary and the remaining provisions will remain in full force. Our failure to enforce any provision is not a waiver of it.
